Terms of sale

Flopia is not on sale yet. These terms of sale (the "Terms") will apply to subscriptions taken out from the commercial opening of the service. No sale is concluded at this time.
1. Parties and scope
The Terms govern the provision of the Flopia service by Flopix (see the legal notice) to any person acting for business purposes (the "Customer"). The service is not intended for consumers. Subscribing means accepting the Terms without reservation; they prevail over any other Customer document.
2. Description of the service
Flopia is an AI-powered conversational assistant that the Customer configures and installs on their website. Depending on the plan, she can in particular answer visitors based on the information provided by the Customer, draft replies to their messages and propose changes to their website, applied only after their confirmation. The exact content and limits of each plan (number of websites, number of messages) are shown on the Pricing page on the day of subscription.
3. Prices
Prices are stated in euros excluding VAT. The applicable price is the one shown at the time of subscription. Flopix may change its prices; any increase is notified to the Customer at least 30 days before it applies, and the Customer may cancel before that date.
4. Term, renewal and cancellation
The subscription runs for one month or one year and renews automatically for the same period. There is no commitment beyond the current period: the Customer may cancel at any time from their account, with effect at the end of the paid period. No pro rata refund is due for a period that has started.
5. Payment
Payment is made in advance by card, through a secure payment provider; Flopix never has access to full card details. If a payment fails, Flopix may suspend the service after informing the Customer. Any late payment automatically incurs the penalties provided for in Article L441-10 of the French Commercial Code and a fixed recovery fee of €40.
6. Message quotas
Each plan includes a number of messages per month. If it is exceeded, Flopia keeps working until the end of the current month; Flopix informs the Customer and suggests the right plan. No extra charge is made without their consent.
7. Customer obligations
- Provide accurate and up-to-date information: Flopia answers based on it.
- Inform their website visitors that they are chatting with an artificial intelligence (Flopia's default display does so).
- Check proposed changes before confirming them, and review drafts before sending.
- Not use Flopia for unlawful purposes or contrary to the terms of use, nor entrust her with sensitive data.
- Comply with the regulations applicable to their business and to the protection of their own customers' data.
8. Flopix obligations
Flopix uses reasonable means to provide a reliable and secure service, hosted in France, and to fix reported issues. Flopix is bound by an obligation of means. The service relies on artificial intelligence: Flopix does not guarantee the accuracy of each generated answer.
9. Personal data
For conversations between Flopia and the visitors of the Customer's website, Flopix acts as the Customer's processor within the meaning of Article 28 of the GDPR: it processes this data only to provide the service, on the Customer's instructions, hosts it in France and does not use it to train a third party's model. A data processing agreement is made available to the Customer. The Customer's own data is processed in accordance with the privacy policy.
10. Liability
Flopix's liability, for all causes combined, is limited to direct damage and capped at the amount paid by the Customer over the last twelve months. Flopix is not liable for indirect damage (loss of revenue, customers or reputation), nor for the consequences of inaccurate information provided by the Customer or of a change they confirmed.
11. Suspension
Flopix may suspend the service in case of non-payment, use contrary to these Terms or the terms of use, or a security risk, after informing the Customer except in an emergency.
12. Intellectual property
Flopix remains the owner of the service, its instructions, settings and software. The Customer remains the owner of the information they provide and of the answers generated on their behalf, which they can export at any time during the subscription.
13. Force majeure
Neither party is liable for a failure caused by a force majeure event within the meaning of Article 1218 of the French Civil Code.
14. Changes to the Terms
Flopix may change the Terms. Changes are notified to the Customer at least 30 days before they take effect; the Customer may cancel before that date if they refuse them.
15. Governing law and disputes
The Terms are governed by French law. In case of dispute, the parties first seek an amicable solution; failing that, jurisdiction is given to the courts of Metz, France.
